These Terms of Service ("Terms") govern your use of Nule, a business ledger application operated by Nearfield AI ("we", "us", "our"), accessible at nule.ai and through our mobile applications.

By creating an account or using Nule, you agree to be bound by these Terms. If you do not agree, please do not use the service.

2. The service

Nule is an AI-native business ledger designed for UK tradespeople, including plumbers, electricians, builders, and other trade professionals. The service allows you to:

• Track jobs, expenses, transactions, and mileage
• Manage client records and invoices
• Record materials, time entries, and business notes
• Use natural language AI to query and manage your business data
• Generate reports and business insights

3. Account registration

To use Nule, you must create an account with a valid email address. You are responsible for:

• Providing accurate and complete information
• Maintaining the security of your account credentials
• All activity that occurs under your account
• Notifying us promptly of any unauthorised access

4. Acceptable use

• AI-generated outputs are provided as assistance and should not be treated as professional financial, tax, or legal advice
• You are responsible for verifying the accuracy of any AI-generated information before acting on it
• AI features may occasionally produce inaccurate or incomplete results
• We continuously work to improve AI accuracy but cannot guarantee error-free outputs

7. Not financial advice

Nule is a business record-keeping and management tool. It does not provide financial advice, tax advice, or accountancy services. You should consult a qualified accountant or financial adviser for professional guidance on tax obligations, financial planning, and regulatory compliance.

While Nule helps you track expenses, income, and other financial data, the accuracy and completeness of your records is your responsibility.

8. Service availability

We aim to keep Nule available at all times but do not guarantee uninterrupted access. The service may be temporarily unavailable due to:

• Unplanned outages or technical issues
• Factors beyond our reasonable control

We are not liable for any loss or damage arising from service unavailability.

9. Pricing and payment

All rights in the Nule service, including its software, design, branding, and content (excluding your data), are owned by Nearfield AI. These Terms do not grant you any rights to our intellectual property except the limited right to use the service as intended.

The Nule name, logo, and associated branding are trademarks of Nearfield AI.

11. Limitation of liability

To the maximum extent permitted by law:

• Nule is provided "as is" and "as available" without warranties of any kind, whether express or implied
• We do not warrant that the service will be error-free, secure, or uninterrupted
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service
• Our total liability to you for any claim arising from these Terms or your use of the service shall not exceed the amount you have paid us in the 12 months preceding the claim

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under English law.

12. Indemnification

You agree to indemnify and hold harmless Nearfield AI, its directors, employees, and agents from any claims, losses, or damages (including legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

Upon termination, you may request a copy of your data within 30 days. After that period, your data will be deleted in accordance with our Privacy Policy.

• Severability: if any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force
• Waiver: failure to enforce any provision does not constitute a waiver of that provision
• Assignment: you may not assign your rights under these Terms; we may assign ours in connection with a merger, acquisition, or sale of assets
