1. Introduction

These Terms of Service ("Terms") govern your use of Nule, a business ledger application operated by Nule Limited ("we", "us", "our"), accessible at nule.ai and through our mobile applications.

By creating an account or using Nule, you agree to be bound by these Terms. If you do not agree, please do not use the service.

2. The service

Nule is an AI-native business ledger designed for UK tradespeople, including plumbers, electricians, builders, and other trade professionals. The service allows you to:

• Track jobs, expenses, transactions, and mileage
• Manage client records and invoices
• Record materials, time entries, and business notes
• Use natural language AI to query and manage your business data
• Generate reports and business insights

3. Account registration

To use Nule, you must create an account with a valid email address. You are responsible for:

• Providing accurate and complete information
• Maintaining the security of your account credentials
• All activity that occurs under your account
• Notifying us promptly of any unauthorised access

You must be at least 18 years old and have the legal capacity to enter into these Terms.

4. Acceptable use

You agree to use Nule only for lawful business purposes. You must not:

• Use the service for any illegal or fraudulent activity
• Attempt to gain unauthorised access to our systems or other users' data
• Interfere with or disrupt the service or its infrastructure
• Upload malicious code, viruses, or harmful content
• Use the service to store or transmit content that infringes third-party rights
• Reverse engineer, decompile, or attempt to extract the source code of the service
• Use automated systems or bots to access the service without our written permission
• Resell or sublicense access to the service

5. Your data

You retain ownership of all business data you enter into Nule. By using the service, you grant us a licence to store, process, and analyse your data solely for the purpose of providing and improving the service, including AI-powered features.

We handle your data in accordance with our Privacy Policy, which forms part of these Terms.

You are responsible for ensuring that any data you enter (including client information) is collected and shared with us in compliance with applicable data protection laws, including the UK GDPR and Data Protection Act 2018.

6. AI features

Nule includes AI-powered features that process your business data to provide insights, answer questions, and assist with business management. You acknowledge that:

• AI-generated outputs are provided as assistance and should not be treated as professional financial, tax, or legal advice
• You are responsible for verifying the accuracy of any AI-generated information before acting on it
• AI features may occasionally produce inaccurate or incomplete results
• We continuously work to improve AI accuracy but cannot guarantee error-free outputs

7. Not financial advice

Nule is a business record-keeping and management tool. It does not provide financial advice, tax advice, or accountancy services. You should consult a qualified accountant or financial adviser for professional guidance on tax obligations, financial planning, and regulatory compliance.

While Nule helps you track expenses, income, and other financial data, the accuracy and completeness of your records is your responsibility.

8. Service availability

We aim to keep Nule available at all times but do not guarantee uninterrupted access. The service may be temporarily unavailable due to:

• Planned maintenance (we will endeavour to provide advance notice)
• Unplanned outages or technical issues
• Factors beyond our reasonable control

We are not liable for any loss or damage arising from service unavailability.

9. Pricing, payment and subscriptions

9.1 Subscription plans

Nule offers paid subscription plans with access to all features. Current pricing is:

• Founders price — available to the first 1,000 sign-ups, or to all sign-ups within the first six months of public availability, whichever comes first. The founders price is locked in for the lifetime of the subscription:
  • £35 per month plus VAT, or
  • £350 per year plus VAT (equivalent to two months free compared to monthly billing).
• Standard price — applies to new sign-ups once the founders window has closed:
  • £40 per month plus VAT, or
  • £400 per year plus VAT (equivalent to two months free compared to monthly billing).

The price displayed at checkout is the price you will be charged at each renewal for as long as your subscription remains active and uninterrupted. If you cancel and later re-subscribe, the then-current price will apply. Full pricing details are available at nule.ai/pricing and within the app.

9.2 Free trial

We may offer a free trial period for new users. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. You will be notified before any charge is taken.

9.3 Auto-renewal

All subscriptions renew automatically at the end of each billing period. Monthly subscriptions renew each month; annual subscriptions renew each year. You authorise us to charge your payment method on file for each renewal at the then-current price.

9.4 Payment processing

Payments are processed securely by our payment partner, Stripe. Nule does not store your full card details. By subscribing, you agree to Stripe's terms of service. You are responsible for keeping your payment information up to date.

9.5 Cancellation

You may cancel your subscription at any time through the app or by contacting us at support@nule.ai. Upon cancellation:

• Your subscription remains active until the end of your current billing period
• You will not be charged for the next billing period
• No partial refunds are given for unused time remaining in a monthly billing period

9.6 Annual commitment

Annual subscriptions require a one-year commitment, paid upfront. If you cancel an annual subscription, no refund will be given for the remaining term. Your access continues until the end of the paid year.

9.7 Failed payments

If a payment fails, we will attempt to retry the charge and notify you by email. If payment is not resolved within 7 days, your subscription will enter a grace period with continued access. If still unresolved after 14 days, your subscription will be suspended until payment is made.

9.8 Price changes

We may change our subscription prices from time to time. We will give existing subscribers at least 30 days' notice of any price increase by email. Your current price will apply until the next renewal after the notice period. If you do not agree to the new price, you may cancel before the next renewal.

9.9 VAT

All prices are displayed exclusive of VAT. VAT at the applicable UK rate (currently 20%) is added at checkout. VAT-registered businesses may be able to reclaim VAT paid. Invoices showing the VAT breakdown are available through your account.

9.10 Refunds

Refunds are provided at our discretion. Nule is a business service and is not subject to consumer cooling-off rights. If you believe you are entitled to a refund, please contact support@nule.ai with details of your request.

10. Intellectual property

All rights in the Nule service, including its software, design, branding, and content (excluding your data), are owned by Nule Limited. These Terms do not grant you any rights to our intellectual property except the limited right to use the service as intended.

The Nule name, logo, and associated branding are trademarks of Nule Limited.

11. Limitation of liability

To the maximum extent permitted by law:

• Nule is provided "as is" and "as available" without warranties of any kind, whether express or implied
• We do not warrant that the service will be error-free, secure, or uninterrupted
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service
• Our total liability to you for any claim arising from these Terms or your use of the service shall not exceed the amount you have paid us in the 12 months preceding the claim

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under English law.

12. Indemnification

You agree to indemnify and hold harmless Nule Limited, its directors, employees, and agents from any claims, losses, or damages (including legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

You may close your account at any time by contacting us at support@nule.ai.

We may suspend or terminate your account if:

• You breach these Terms
• Your use of the service poses a security risk
• We are required to do so by law
• We discontinue the service (with reasonable notice)

Upon termination, you may request a copy of your data within 30 days. After that period, your data will be deleted in accordance with our Privacy Policy.

14. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the app at least 30 days before the changes take effect. Your continued use of Nule after changes take effect constitutes acceptance of the revised Terms.

15. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of Nule shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. General provisions

• Entire agreement: these Terms (together with the Privacy Policy) constitute the entire agreement between you and Nule Limited regarding Nule
• Severability: if any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force
• Waiver: failure to enforce any provision does not constitute a waiver of that provision
• Assignment: you may not assign your rights under these Terms; we may assign ours in connection with a merger, acquisition, or sale of assets
